1. Introduction and acceptance of these Terms
These Terms of Use govern access to and use of the MetSoP (Pty) Ltd website and any information, text, images, documents, downloads, contact forms, links, functionality or other content made available on or through the website.
By accessing, browsing or using the website, you confirm that you have read, understood and agree to be bound by these Terms. If you use the website on behalf of a company, mine, supplier, customer, consultant, employer or other organisation, you confirm that you have authority to bind that organisation to these Terms.
If you do not agree with these Terms, you should not use the website. MetSoP may update these Terms from time to time. The version published on the website at the time of your use will apply to that use.
2. About MetSoP and the website
MetSoP (Pty) Ltd is a South African metallurgical firm providing metallurgical solutions, reagent-related services, laboratory testwork, technical support, site and plant trial support, product supply and related business services to mining and industrial clients.
The website is intended to provide general information about MetSoP, its services, technical capabilities, products, business profile, contact channels and related corporate information.
Unless expressly stated otherwise in writing by MetSoP, the website is not an online store and does not itself conclude product sales, service agreements, laboratory testwork engagements, plant trial arrangements or any other binding commercial transaction.
MetSoP’s formal company details, registered office, physical address, contact details and other publication particulars must be displayed on the website or otherwise made available in accordance with applicable law.
3. Definitions
In these Terms, unless the context indicates otherwise:

4. Relationship with other documents
These Terms should be read together with MetSoP’s Website Privacy Policy, PAIA Manual, any cookie notice or cookie preference tool and any separate quotation, proposal, purchase order, supply agreement, distribution agreement, service level arrangement, laboratory testwork instruction, trial protocol, safety data sheet or other written agreement issued or accepted by MetSoP.
If there is a conflict between these Terms and a signed written agreement between MetSoP and a client, supplier, service provider, agent, distributor or business partner, the signed written agreement will prevail for that specific commercial relationship, unless the written agreement states otherwise.
These Terms do not replace product labels, safety data sheets, technical specifications, quality documents, site-specific instructions, regulatory requirements, or written technical advice issued by an authorised MetSoP representative for a particular product, mine, plant, process or engagement.
5. Permitted website use
You may use the website for lawful business, informational and communication purposes, including learning about MetSoP, requesting information, submitting business enquiries, viewing publicly available Content and contacting MetSoP through the published contact channels.
You may download or print publicly available website Content for your own internal, non-commercial evaluation of MetSoP’s products or services, provided that you do not remove copyright notices, trademark notices or other proprietary notices and do not alter the Content in a way that is misleading or prejudicial to MetSoP.
6. Prohibited conduct
You must not use the website in any manner that is unlawful, harmful, misleading, abusive, disruptive, unauthorised, fraudulent or inconsistent with these Terms. In particular, you must not: • copy, reproduce, modify, publish, distribute, sell, license, frame, mirror, scrape, reverse-engineer or commercially exploit the website or its Content without MetSoP’s prior written consent; • use the website to send unlawful, defamatory, threatening, offensive, misleading, malicious, confidential, proprietary or infringing material; • submit false, inaccurate, unauthorised or misleading information through any website form or contact channel; • attempt to gain unauthorised access to the website, MetSoP systems, user accounts, servers, networks or data; • introduce malware, viruses, harmful code, denial-of-service activity, bots, automated scraping tools or other technology that may impair the website or any related system; • interfere with website security, availability, performance or integrity; • use MetSoP’s name, trademarks, logos, service marks, product names or business identity in a manner that implies endorsement, affiliation or authorisation where none exists; • use the website for unlawful competition, unlawful procurement, unlawful reverse engineering, impersonation, spam, harvesting contact details, or any activity that may damage MetSoP’s reputation or legal interests.
7. Website enquiries, quotations and commercial engagements
Any enquiry submitted through the website is a request for information only. It does not create a binding contract, quotation, purchase order, supply obligation, delivery obligation, exclusivity arrangement, agency relationship, distribution relationship, credit facility, employment relationship or other legal commitment by MetSoP.
A quotation, proposal, price, lead time, technical recommendation, product availability statement, laboratory testwork scope, plant trial scope or delivery arrangement will only bind MetSoP if it is issued or confirmed in writing by an authorised MetSoP representative and accepted in accordance with the terms of that written document.
Product availability, lead times, prices, technical specifications, packaging, labelling, performance indications, service descriptions and delivery arrangements may change and are subject to written confirmation, stock availability, import/export requirements, site access requirements, customer requirements, safety requirements, commercial approvals and applicable law.
8. Technical information and no site-specific advice
The website may contain information about metallurgy, reagent development, laboratory testwork, technical support, process improvement, site trials, product applications, plant performance, ore variability, mineralogy, analytical methods, operational support or related technical matters. This information is general in nature and is provided for introductory and informational purposes only.
Website Content is not a substitute for site-specific investigation, sample analysis, laboratory testwork, professional metallurgical assessment, product-specific documentation, safety data sheets, site procedures, regulatory requirements or written advice issued for a particular mine, ore body, plant, process, reagent, product, application or operational environment.
No statement on the website should be interpreted as a guarantee of recovery, throughput, grade, dosage, cost saving, safety outcome, regulatory outcome, plant performance or commercial result. Any performance outcome depends on site-specific conditions, sample representativity, plant configuration, operating discipline, ore characteristics, dosing practices, water quality, process stability, equipment condition and other factors outside the general website context.

A link to a third-party website or platform does not mean that MetSoP endorses, approves, sponsors, controls or is affiliated with that third party, unless MetSoP expressly states so in writing.
13. Accuracy, currency and availability of the website
MetSoP aims to keep website Content accurate, appropriate and up to date, but the website may contain errors, omissions, outdated information or incomplete information. MetSoP may change, update, suspend, withdraw or remove any website Content at any time without prior notice.

This includes, without limitation, direct, indirect, incidental, special, consequential, punitive or economic loss; loss of profits; loss of revenue; loss of production; loss of business opportunity; loss of goodwill; loss of data; system failure; cybersecurity incident; operational interruption; inaccurate information; delayed information; third-party content; or decisions taken in reliance on general website Content.
This limitation applies whether the claim arises in contract, delict, negligence, statute, equity or any other legal basis, and whether or not MetSoP was advised of the possibility of such loss, except to the extent that liability cannot lawfully be excluded or limited.
16. Indemnity
You agree to indemnify and hold MetSoP, its directors, employees, officers, representatives, agents, contractors, service providers and affiliates harmless against any claims, losses, damages, liabilities, costs and expenses arising from or connected with: • your breach of these Terms; • your unlawful, unauthorised or improper use of the website; • information or material that you submit to MetSoP through the website; • your infringement of any third-party rights, including intellectual property, privacy, confidentiality or data protection rights; • your misuse of MetSoP’s name, trademarks, products, services, Content or business identity; • any unauthorised act, omission, representation, commitment or communication made by you on behalf of another person or organisation.
17. Consumer protection and statutory rights
Where the Consumer Protection Act 68 of 2008 or any other consumer protection law applies, nothing in these Terms is intended to limit, waive or deprive a consumer of rights that cannot lawfully be excluded or limited. If any provision of these Terms is found to be unfair, unlawful, unreasonable, void or unenforceable in a specific context, that provision will be interpreted, limited or severed to the extent necessary, and the remaining provisions will continue to apply as far as permitted by law.
For the avoidance of doubt, the website is primarily directed at business-to-business communications with mining, industrial, technical and supplier stakeholders, but MetSoP will comply with applicable statutory obligations where they apply to a particular user or transaction.
18. International access and compliance with laws
MetSoP operates from South Africa and the website is controlled from South Africa. MetSoP does not represent that website Content is appropriate, available or lawful in every country or jurisdiction.
If you access the website from outside South Africa, you do so on your own initiative and are responsible for complying with applicable local laws, including laws relating to data protection, electronic communications, import/export controls, sanctions, procurement, product use, safety and technical regulations.
19. Suspension, restriction and enforcement

21. Governing law and jurisdiction
These Terms and any dispute arising from or connected with the website, website Content, website communications or website use are governed by the laws of the Republic of South Africa.
Subject to applicable law and any mandatory dispute-resolution process, you consent to the jurisdiction of the competent courts of South Africa. MetSoP may institute proceedings in any court with jurisdiction where necessary to protect its rights, intellectual property, confidential information, systems, employees, business operations or legal interests.
22. General provisions
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply. A failure by MetSoP to enforce any provision is not a waiver of MetSoP’s right to enforce that provision or any other provision later.
These Terms constitute the entire website-use agreement between you and MetSoP in relation to use of the website, subject to any separate written agreement that applies to a specific commercial relationship, product, service, quotation, proposal, trial, testwork, supply arrangement, supplier relationship, employment process or confidentiality obligation.
You may not cede, assign or transfer any rights or obligations under these Terms without MetSoP’s prior written consent. MetSoP may cede, assign, delegate or transfer its rights or obligations where this forms part of a business restructuring, merger, sale, transfer, outsourcing arrangement, corporate transaction or other lawful business arrangement.
